Terms of Service

1. Acceptance of Terms

By accessing or using ChatClipThat ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree, don't use the Service.

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Description of Service

ChatClipThat is an AI-powered video analysis service that:

• Processes gaming VODs (primarily from Twitch)
• Detects and scores highlight-worthy moments
• Generates clips and montages based on detected highlights
• Provides an interactive timeline for browsing and selecting moments
• Exports clips in various aspect ratios (9:16, 16:9, 1:1)

Beta Status: ChatClipThat is currently in beta. The service may contain bugs, change features, or experience downtime without notice.

3. Eligibility

You must:

• Be at least 13 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Have a valid Twitch account for OAuth authentication

4. Account Responsibilities

Your Account

• You are responsible for maintaining the security of your account
• You are responsible for all activities that occur under your account
• Notify us immediately if you suspect unauthorized access
• Do not share your account credentials with others

Accurate Information

You agree to provide accurate and complete information when using the Service and keep it up to date.

5. Acceptable Use

You agree NOT to:

Prohibited Content

• Upload or process VODs you don't have rights to
• Process content that violates Twitch's Terms of Service
• Submit content containing malware, viruses, or malicious code
• Process content that infringes copyright, trademark, or other IP rights

Prohibited Behavior

• Attempt to circumvent credit limitations or billing systems
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data without permission
• Overload or interfere with Service infrastructure
• Impersonate others or misrepresent your affiliation
• Use the Service for illegal purposes or to violate laws

Fair Use

• Use the Service only for legitimate gameplay highlight creation
• Don't abuse free credits or exploit system vulnerabilities
• Don't create multiple accounts to circumvent limitations

6. Content Ownership and Rights

Your Content

You retain all ownership rights to the VODs you submit. By using the Service, you grant us a limited license to:

• Access and download your VODs for processing
• Analyze video frames and audio for highlight detection
• Store processed results and generated clips
• Display clips and results to you through the Service

This license terminates when you delete your content or account.

Generated Clips

Clips generated by the Service are derivatives of your original content. You own these clips, subject to:

• Twitch's Terms of Service and VOD rights
• Game publishers' policies on gameplay footage
• Any music or third-party content in the original VOD

Our Content

All aspects of the Service—including the website, interface, algorithms, and branding—are owned by ChatClipThat and protected by intellectual property laws.

7. Subscription and Billing

Plans and Credits

• Free plan includes 100 credits
• Paid plans provide monthly credit allocations
• Credits are consumed when processing VODs
• Unused credits do not roll over between billing periods

Payment

• All payments are processed through Stripe
• Subscriptions auto-renew monthly unless canceled
• You're responsible for all charges incurred under your account
• Prices may change with 30 days' notice to existing subscribers

Refunds

• No refunds for partial months or unused credits
• Cancel anytime through the billing portal
• Cancellation takes effect at the end of your current billing period

Free Trial/Credits

Promotional credits or trials are subject to additional terms and may be revoked if abused.

8. Service Availability

Uptime

We strive for high availability but make no guarantees about uptime or uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance
• Technical issues or bugs
• Third-party service outages (Twitch, GCS, Xano, etc.)
• Force majeure events

Modifications

We may modify, suspend, or discontinue any aspect of the Service at any time without notice.

9. Disclaimer of Warranties

We specifically disclaim warranties including but not limited to:

• Merchantability: No guarantee the Service will meet your needs
• Fitness for Purpose: No guarantee of suitability for specific use
• Accuracy: AI highlight detection may miss moments or produce false positives
• Quality: Generated clips may have encoding issues or quality degradation
• Data Loss: We're not liable for lost VODs, clips, or processing results

10. Limitation of Liability

To the maximum extent permitted by law:

No Consequential Damages

ChatClipThat and its operators shall not be liable for:

• Lost profits, revenue, or business opportunities
• Data loss or corruption
• Service interruptions or downtime
• Costs of substitute services
• Indirect, incidental, or consequential damages

Liability Cap

Our total liability to you for any claims arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

Exceptions

Nothing in these Terms limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded by law

11. Indemnification

You agree to indemnify and hold harmless ChatClipThat from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Service

12. Third-Party Services

The Service relies on third-party platforms:

• Twitch: Subject to Twitch Terms of Service
• Stripe: Subject to Stripe Services Agreement
• Google Cloud: Subject to GCS Terms

We're not responsible for these third-party services or their terms, policies, or availability.

13. Termination

By You

You may terminate your account at any time by:

• Canceling your subscription through the billing portal
• Contacting us to request account deletion

By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails or is disputed
• We're required to do so by law
• We discontinue the Service

Effect of Termination

• Your access to the Service will be immediately revoked
• Your data will be deleted per our Privacy Policy
• No refunds will be provided for remaining credit balance
• These Terms survive termination where applicable

14. Dispute Resolution

Informal Resolution

Before filing a claim, contact us to attempt informal resolution. We'll try to resolve disputes amicably.

Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

Arbitration

Any disputes that cannot be resolved informally will be resolved through binding arbitration, not in court. You waive your right to a jury trial or to participate in a class action.

Exception: You may still bring small claims court actions (under $10,000).

15. General Provisions

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and ChatClipThat.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver

Failure to enforce any provision doesn't waive our right to enforce it later.

Assignment

You may not assign these Terms. We may assign them to affiliates or successors.

Force Majeure

We're not liable for failures due to events beyond our reasonable control (natural disasters, wars, pandemics, etc.).
